Terms and Conditions

1) Agreement to these Terms

By accessing or using Ninchi, you agree to these Terms. If you do not agree, do not use the service.

2) What Ninchi provides

Ninchi is a learning support platform that may allow you to:

• upload and store study materials (documents, images, books/notes you have rights to use, video, audio);
• run OCR and transcription and generate “study-ready” text;
• practice in real-time sessions (including simulated exam-style experiences);
• receive feedback, explanations, and learning assistance.

No guarantees: Ninchi is not an educational institution and does not guarantee grades, scores, admissions, or outcomes.

3) Eligibility and accounts

You must be able to form a binding contract in your location to use Ninchi, or have a parent/guardian consent where required. You are responsible for:

• keeping your login credentials confidential;
• all activity under your account;
• providing accurate account information.

We may suspend accounts for suspected unauthorized access or policy violations.

4) Your content (uploads, recordings, prompts)

You may submit content such as files, notes, images, audio/video, questions, and messages (“User Content”).

You represent and warrant that:

• you own User Content or have all necessary rights/permissions to upload and use it with Ninchi;
• your User Content does not violate law or others’ rights (copyright, privacy, etc.).

Sensitive info: Please avoid uploading highly sensitive personal data unless you truly need to (e.g., government IDs, financial account numbers, medical records). If you upload it, you do so at your own risk.

5) License you grant Ninchi

You grant Ninchi a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display your User Content only as needed to operate and improve the service (e.g., storage, OCR/transcription, generating feedback, preventing abuse, troubleshooting), consistent with the Privacy Policy and any settings you provide.

6) AI/automated outputs and accuracy

Ninchi may generate outputs (summaries, transcriptions, feedback, practice questions, grading hints, etc.).

Outputs can be incorrect, incomplete, or inappropriate. You are responsible for verifying accuracy and using your judgment—especially for high-stakes decisions.

7) Real-time sessions, audio/video, and consent

Some features may involve real-time sessions and may process audio/video (e.g., to transcribe or provide feedback). If recording is offered:

• we will indicate when recording/analysis is active; and
• you agree to obtain consent from anyone whose voice/image you submit, as required by law.

8) Acceptable use (what you may not do)

You agree not to:

• violate any law or regulation;
• infringe intellectual property rights (e.g., upload pirated books/videos);
• upload malware or attempt to disrupt the service;
• attempt to access others’ accounts or data;
• use Ninchi to cheat in ways that violate an institution’s rules (you’re responsible for your academic integrity obligations);
• reverse engineer, scrape, or abuse rate limits without permission;
• harass, threaten, or share hateful or sexually exploitative content.

We may remove content or restrict access to protect users and the service.

9) Intellectual property

Ninchi and its software, design, logos, and content (excluding your User Content) are owned by Ninchi and protected by IP laws. These Terms do not grant you ownership of Ninchi.

10) Third-party services

Ninchi may rely on third-party providers (e.g., cloud hosting, analytics, transcription/OCR providers). Your use may be subject to those providers’ terms to the extent they apply.

11) Termination

You may stop using Ninchi at any time. We may suspend or terminate your access if:

• you violate these Terms;
• we must comply with law;
• your use creates risk or harm to Ninchi or others.

12) Disclaimers

Ninchi is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

13) Limitation of liability

To the maximum extent permitted by law, Ninchi will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill.

14) Indemnity

You agree to defend and indemnify Ninchi from claims arising out of your User Content, your misuse of the service, or your violation of these Terms.

15) Changes to Terms

We may update these Terms. If changes are material, we’ll provide notice (e.g., in-app or via email). Continued use after the effective date means you accept the updated Terms.

Privacy Policy

1) Information we collect

A. Information you provide

• Account info: name, email, password (stored as a secure hash), and profile info you choose.
• User Content: uploaded files (documents/images/audio/video), notes, messages, prompts, and study materials.
• Session content: content you submit during real-time practice sessions and feedback interactions.

B. Information collected automatically

• Usage data: feature interactions, timestamps, pages/screens viewed, clicks, and performance logs.
• Device and technical data: IP address, device type, browser, OS, identifiers, crash logs.
• Cookies and similar tech (see Cookie Policy below).

C. Information from others

• If you sign in via SSO (e.g., Microsoft/Google), we receive basic profile data per your settings.

2) How we use information

We use information to:

• provide, maintain, and improve Ninchi features (storage, OCR/transcription, feedback, practice sessions);
• personalize your experience (e.g., study organization, progress tracking);
• communicate with you (account notices, support, updates);
• secure the service and prevent abuse/fraud;
• comply with legal obligations.

Model improvement / training:

• We do not use your User Content to train models unless you explicitly opt in.

3) How we share information

We may share information with:

• Service providers/processors (cloud hosting, storage, OCR/transcription, analytics, customer support tools) who act on our instructions;
• Legal/safety: if required by law, subpoena, or to protect rights, safety, and integrity;
• Business transfers: merger, acquisition, financing, or sale (with appropriate protections).

We do not sell your personal information in the ordinary sense.

4) Data retention

We keep data as long as needed to provide the service and for legitimate business purposes (security, backups, compliance).

• Some data may remain in backups for a limited period.

6) Security

We use administrative, technical, and physical safeguards designed to protect information. No system is 100% secure; you are responsible for keeping your credentials safe.

7) Your choices and rights

Depending on where you live, you may have rights to:

• access, correct, delete, or port your data;
• object to or restrict certain processing;
• withdraw consent (where processing is based on consent).

8) Children and student users

Ninchi may be used by students. If you are a minor, you must have required parental/guardian consent where applicable. We do not knowingly collect personal data from children under 15 without appropriate consent.

9) International transfers

If you access Ninchi from outside the country where our servers are located, your information may be transferred internationally. Where required, we use appropriate safeguards (e.g., standard contractual clauses).

10) Changes to this Privacy Policy

We may update this policy and will post the updated version with a new effective date.
